  • Monthly subscription-based access with variable pricing and usage limits

Photoshield Application: A secure online photo repository service that enables contractors, tradespersons, and small trade businesses to store, organize, and share project photos with clients. Photoshield requires user authentication and login credentials to ensure photo security and access control.

2.1 Service Definitions

Free Tools and Applications: Voice Trade provides complementary tools and applications, including but not limited to Photoshield, a secure photo repository service for contractors and trades professionals. These tools are provided on a best-efforts basis and are subject to the same terms and limitations as outlined herein.

3. Subscription Terms and Billing

3.1 Subscription Structure

  • Monthly Fees: As specified in your service agreement

  • Billing Cycle: Monthly, with automatic renewal

  • Payment Method: Charged to your designated payment method on file

  • Service Start Date: As specified in your service agreement

3.2 Usage and Overages

  • Each subscription includes a specified number of monthly minutes

  • Usage beyond included minutes will be charged at rates specified in your service agreement

  • Overage charges will be added to your next billing cycle

3.3 Payment Terms

  • All fees are due and payable in advance of each billing cycle

  • Payments must be made in Canadian dollars

  • Failed payments may result in service suspension until account is current

  • You are responsible for all applicable taxes

3.4 Cancellation

  • Either party may cancel with 5 days written notice before the next renewal date

  • Cancellation takes effect at the end of the current billing period

  • No refunds for partial months of service

  • All outstanding balances remain due upon cancellation

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our services for legitimate business purposes in compliance with all applicable laws and regulations.

4.2 Prohibited Uses

You may not use our services to:

  • Violate any applicable laws or regulations

  • Infringe upon intellectual property rights of others

  • Transmit harmful, threatening, abusive, or defamatory content

  • Attempt to gain unauthorized access to our systems

  • Use services for spam, telemarketing violations, or unsolicited communications

  • Interfere with or disrupt our services or infrastructure

4.3 Compliance Responsibility

You are solely responsible for ensuring your use of our services complies with all applicable laws, including but not limited to Canadian Anti-Spam Legislation (CASL) and telecommunications regulations.

4.4 Use of Photoshield

By using the Photoshield application, you acknowledge and agree that:

a) User Discretion Required: You use Photoshield entirely at your own discretion and risk. Voice Trade provides this service as a convenience tool for trade professionals.

b) No Liability for Loss or Failure: Voice Trade assumes no responsibility and disclaims all liability for:

  • Any loss, corruption, or deletion of photos or data stored in Photoshield

  • Service failures, outages, or technical malfunctions

  • Inability to access stored photos or data

  • Any business interruption or loss of income resulting from Photoshield unavailability

c) Users are responsible for ensuring they have proper rights and permissions for all photos uploaded to Photoshield and for complying with applicable privacy laws when sharing photos with clients.

4.5 Account Security and Access

You are solely responsible for:

- Maintaining the confidentiality of your Photoshield login credentials

- All activities that occur under your account

- Promptly notifying Voice Trade of any unauthorized access to your account

- Ensuring compliance with applicable privacy laws when sharing photos with clients

5. Data and Privacy

5.1 Data Processing

Your use of our services may involve the processing of personal information. Our collection, use, and protection of such information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

5.2 Your Data Responsibilities

  • You warrant that you have all necessary rights and consents for any data processed through our services

  • You are responsible for compliance with applicable privacy laws regarding data you process

  • You must obtain appropriate consents for call recordings and voice data processing

5.3 Data Retention

  • Call recordings and transcripts are retained during your active subscription

  • All data is permanently deleted within 30 days of service cancellation

  • We maintain records as required by law for tax and regulatory purposes

5.4 Data Integrity

  • While Voice Trade implements reasonable security measures, you are solely responsible for maintaining backup copies of important photos and data stored in Photoshield.

6. Intellectual Property

6.1 Our Rights

Voice Trade retains all rights, title, and interest in our services, technology, software, and related intellectual property. These Terms do not grant you any ownership rights in our services.

6.2 Your Content

You retain ownership of any content, data, or materials you provide to our services. You grant us a limited license to use such content solely to provide our services to you.

6.3 Third-Party Rights

Our services may incorporate third-party technologies subject to separate licensing terms. You agree to comply with all applicable third-party license requirements.

6.4 User Data and Photo Ownership

Photo and Data Ownership - Photoshield:

a) You retain full ownership of all photos and data uploaded to Photoshield.

b) Voice Trade does not claim any ownership rights in your photos or content.

c) You grant Voice Trade a limited, non-exclusive license to store, process, and display your photos solely for the purpose of providing the Photoshield service.

d) You warrant that you have all necessary rights to upload and share photos through Photoshield and will not upload content that infringes third-party rights.

7. Service Availability and Support

7.1 Service Levels

  • We provide services on a best-effort basis without guaranteed uptime

  • Scheduled maintenance may temporarily interrupt service availability

  • We will use reasonable efforts to provide advance notice of planned maintenance

  • We do not guarantee continuous, uninterrupted, or error-free operation of any service or application.

7.2 Support

Customer support is provided during standard business hours via email and phone. Support response times are not guaranteed but we strive to address inquiries promptly.

8. Limitation of Liability

8.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Liability

To the maximum extent permitted by Canadian Law:

a) Voice Trade's total liability for any claims arising from these Terms, your use of our services (including Photoshield), or any free tools and applications shall not exceed the amounts paid by you to Voice Trade in the 12 months preceding the claim, or $100 CAD if no fees have been paid.

b) Voice Trade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business interruption, or other commercial damages.

c) Photoshield Specific Limitations: Voice Trade expressly disclaims all liability related to the Photoshield application for:

- Photo loss, corruption, or inaccessibility

- Service interruptions or technical failures

- Third-party unauthorized access to stored photos

- Any claims arising from photo sharing or client access

d) These limitations apply regardless of whether Voice Trade has been advised of the possibility of such damages and regardless of the legal theory (contract, tort, or otherwise) upon which the claim is based.

8.3 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

9. Indemnification

You agree to indemnify, defend, and hold harmless Voice Trade, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

a) Your use of our services, including Photoshield

b) Your violation of these Terms

c) Your violation of any applicable laws or regulations

d) Any content, photos, or data you provide through our services

e) Photoshield Specific: Any claims related to photos you upload, store, or share through Photoshield, including copyright infringement, privacy violations, or unauthorized sharing

10. Termination

10.1 Termination by Either Party

Either party may terminate these Terms with 5 days written notice before the next renewal date.

10.2 Immediate Termination

We may immediately terminate or suspend your access to our services if:

  • You materially breach these Terms

  • You fail to pay amounts due

  • Your use of services poses security or legal risks

  • Termination is required by law or regulatory authority

10.3 Effect of Termination

Upon termination:

  • Your access to services will cease

  • All outstanding amounts become immediately due

  • Data retention and deletion procedures outlined in our Privacy Policy will apply

  • Sections of these Terms that by their nature should survive will remain in effect

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

11.2 Jurisdiction

Any disputes arising under these Terms shall be resolved exclusively in the courts of Ontario, Canada.

11.3 Limitation Period
